Terms of Use

These Terms of Use govern your access to and use of vnsco.org, including all pages, content, materials, features and functionality made available through it (collectively, the “Site”).

The Site is operated by VNSCO L.L.C-FZ, a company established in the United Arab Emirates (“VNSCO,” “we,” “us” or “our”).

By accessing, browsing or using the Site, you acknowledge that you have read, understood and agreed to be bound by these Terms of Use. If you do not agree, you must immediately stop using the Site.

If you access or use the Site on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms, in which case references to “you” include that organisation.

    Informational Website Only

    The Site is provided solely for general informational, introductory and promotional purposes.

    Nothing published on the Site constitutes or shall be interpreted as:

    1. an offer capable of acceptance;
    2. a binding quotation, proposal or commitment;
    3. a promise to provide any service;
    4. a representation that any service is available to you;
    5. professional, legal, financial, investment, tax, regulatory or other advice;
    6. a guarantee of any commercial, operational, marketing, financial or other result;
    7. the creation of any client, customer, agency, partnership, fiduciary, advisory, employment or other professional relationship; or
    8. an invitation to rely on any information without conducting your own independent assessment.

    Descriptions of our experience, capabilities, services, projects, methods, expected outcomes or potential benefits are general descriptions only. They do not create any obligation, warranty, performance standard, service level, deliverable or guaranteed result.

    Any examples, case studies, estimates, illustrations, projections, statistics or references to previous results are provided for context only. Previous performance does not guarantee or indicate future performance.


  2. 02

    Services Are Governed Exclusively by Separate Contracts

    All services provided by VNSCO are subject to a separate definitive written agreement executed by VNSCO and the relevant client.

    No access to the Site, submission of a contact form, telephone call, email, meeting, presentation, proposal, quotation, message, preliminary discussion or other communication shall by itself create a binding agreement for the provision of services.

    Any service-related obligation, including any obligation concerning:

    1. scope of work;
    2. deliverables;
    3. fees, commissions or payment terms;
    4. timelines or milestones;
    5. budgets;
    6. performance indicators;
    7. service levels;
    8. warranties;
    9. confidentiality;
    10. intellectual property;
    11. personal data;
    12. liability;
    13. termination; or
    14. dispute resolution,

    shall exist only where it is expressly stated in a separate written agreement duly executed by an authorised representative of VNSCO.

    No employee, contractor, representative or other person has authority to bind VNSCO unless such authority has been expressly granted by VNSCO in writing.

    Where a separate written agreement exists between you and VNSCO, that agreement shall prevail over these Terms in relation to the services covered by it. These Terms shall continue to govern your access to and use of the Site.


  3. 03

    No Reliance

    You access and use the Site entirely at your own risk.

    You must not rely on the Site as the sole or primary basis for any business, financial, marketing, operational, legal, regulatory, employment, educational, investment or other decision.

    Before acting on any information appearing on the Site, you are responsible for:

    1. independently verifying its accuracy, completeness and suitability;
    2. obtaining appropriate professional advice;
    3. evaluating the relevant commercial and legal risks; and
    4. determining whether the information is appropriate for your particular circumstances.

    VNSCO shall have no responsibility for any decision, action, omission, cost, loss or liability resulting from your use of or reliance upon the Site.

    No Warranties

    To the fullest extent permitted by applicable law, the Site and all information, content, materials and functionality available through it are provided strictly on an “as is,” “as available” and “with all faults” basis.

    VNSCO makes no representation, warranty, undertaking or condition of any kind, whether express, implied, statutory or otherwise, including any warranty concerning:

    1. accuracy;
    2. completeness;
    3. reliability;
    4. timeliness;
    5. availability;
    6. merchantability;
    7. satisfactory quality;
    8. fitness for a particular purpose;
    9. non-infringement;
    10. compatibility;
    11. security;
    12. uninterrupted operation;
    13. absence of defects, errors, malware or harmful components;
    14. correction of any error or defect;
    15. suitability for any particular user, transaction or purpose; or
    16. achievement of any result.

    Information on the Site may be incomplete, approximate, outdated, inaccurate or subject to change. VNSCO has no obligation to verify, update, correct or maintain any content.


  5. 05

    Availability and Changes to the Site

    VNSCO may, at any time and without notice:

    1. change, update or remove any content;
    2. restrict access to any part of the Site;
    3. suspend or discontinue the Site;
    4. modify its functionality or appearance;
    5. introduce access requirements;
    6. block any user, device, network or location; or
    7. withdraw any information, opportunity or service description.

    VNSCO shall not be liable for any interruption, suspension, modification, restriction or discontinuation of the Site.

    You are responsible for maintaining your own internet connection, devices, security software, backups and other systems required to access the Site.


  6. 06

    Permitted Use

    VNSCO grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable permission to access and view the Site solely for lawful informational purposes.

    This permission does not transfer any ownership or intellectual property rights to you and may be withdrawn by VNSCO at any time.

    You may use the Site only if you have the legal capacity to accept these Terms. Where you are accessing the Site on behalf of an organisation, you must have the authority to act for that organisation.


  7. 07

    Prohibited Conduct

    You must not, directly or indirectly:

    1. use the Site for any unlawful, fraudulent, misleading, abusive or unauthorised purpose;
    2. interfere with the operation, availability, performance or security of the Site;
    3. attempt to gain unauthorised access to the Site, its hosting environment, systems, databases, accounts or networks;
    4. introduce viruses, malware, harmful code or other disruptive technology;
    5. test, scan or probe the vulnerability of the Site without our prior written permission;
    6. bypass or attempt to bypass any technical, security or access-control measure;
    7. scrape, crawl, harvest, index, extract, copy or systematically download Site content using automated means;
    8. use bots, spiders, data-mining tools or similar technologies without our prior written permission;
    9. reproduce, republish, distribute, sell, licence, modify, translate, display or commercially exploit Site content;
    10. use Site content to develop, train, test or improve any artificial intelligence, machine-learning or automated system;
    11. reverse engineer or attempt to derive source code, underlying systems or technical processes;
    12. impersonate VNSCO or any other person;
    13. misrepresent your identity, authority, affiliation or intentions;
    14. submit false, misleading, defamatory, unlawful or infringing information;
    15. use the Site in a manner that may damage VNSCO’s name, reputation or commercial interests;
    16. use any VNSCO name, logo, trademark or content in advertising, metadata, domain names, paid search campaigns or social media accounts without written permission; or
    17. assist any other person in doing any of the above.

  8. 08

    Intellectual Property

    The Site and all materials appearing on it, including its text, design, layout, graphics, logos, trade names, trademarks, service marks, photographs, videos, software, databases, processes, documents and other content, are owned by or licensed to VNSCO and are protected by applicable intellectual property laws.

    Except for the limited permission expressly granted under these Terms, no right, title, licence or interest is granted to you.

    You may not use the name VNSCO, any related trading name, logo, brand element, domain name or other identifier without our prior written permission.

    Any unauthorised use may result in immediate suspension of access and legal action.


  9. 09

    Communications and Submissions

    Submitting an enquiry or communicating with VNSCO does not oblige VNSCO to:

    1. respond;
    2. provide information;
    3. issue a proposal;
    4. enter into negotiations;
    5. accept you as a client;
    6. provide any service; or
    7. keep an opportunity available.

    Unless VNSCO has entered into a separate written confidentiality or non-disclosure agreement with you, you must not submit confidential, commercially sensitive, proprietary or privileged information through the Site.

    The existence of discussions or communications with VNSCO does not create a duty of confidentiality unless expressly agreed in writing.

    Any unsolicited ideas, recommendations, concepts, suggestions or feedback provided to VNSCO may be used by VNSCO without restriction, attribution, compensation or obligation to you, to the fullest extent permitted by applicable law.

    You represent that any information or materials submitted by you are accurate, lawful, non-infringing and that you have the right to submit them.

    Third-Party Websites and Services

    The Site may contain links, integrations, references or access to third-party websites, platforms, tools, services or content.

    Such third parties are independent from VNSCO. VNSCO does not control, endorse, verify or assume responsibility for them.

    Your use of any third-party website or service is entirely at your own risk and may be governed by separate third-party terms and privacy policies.

    VNSCO shall not be responsible for any loss, damage, security issue, data practice, content, statement, product, service or transaction involving a third party.

    Privacy and Cookies

    Our collection and use of personal data in connection with the Site are described in our Privacy Policy.

    By using the Site, you acknowledge that internet transmissions and electronic communications may not always be private or secure.

    You are responsible for ensuring that any information you provide is lawful, accurate and appropriate for transmission.

    Disclaimer of Responsibility

    To the fullest extent permitted by applicable law, VNSCO and its shareholders, directors, officers, employees, contractors, representatives, affiliates, service providers and licensors shall have no responsibility for:

    1. your use of or inability to use the Site;
    2. your reliance on any Site content;
    3. inaccurate, incomplete or outdated information;
    4. decisions made using Site content;
    5. loss of data, files, communications or business information;
    6. cybersecurity incidents, malware or unauthorised access;
    7. third-party websites, platforms or services;
    8. interruption or unavailability of the Site;
    9. any failure to achieve an expected commercial or other result;
    10. acts or omissions of any third party; or
    11. any event outside VNSCO’s reasonable control.

  13. 13

    Limitation of Liability

    To the fullest extent permitted by applicable law, VNSCO and its shareholders, directors, officers, employees, contractors, representatives, affiliates, service providers and licensors shall not be liable for any:

    1. indirect loss;
    2. incidental loss;
    3. consequential loss;
    4. special loss;
    5. exemplary or punitive damages;
    6. loss of profit;
    7. loss of revenue;
    8. loss of business;
    9. loss of opportunity;
    10. loss of anticipated savings;
    11. loss of goodwill or reputation;
    12. loss, corruption or disclosure of data;
    13. business interruption;
    14. cost of replacement services; or
    15. claim by any third party,

    whether arising in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution or otherwise, even if the possibility of such loss was known or reasonably foreseeable.

    To the fullest extent permitted by applicable law, VNSCO’s total aggregate liability arising out of or relating to the Site or these Terms shall not exceed AED 100.

    This limitation applies collectively to all claims, events, persons and legal grounds and shall not be increased by the existence of multiple claims.

    Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable mandatory law. Any liability that cannot be fully excluded shall be limited to the minimum extent permitted by law.


  14. 14

    Indemnity

    To the fullest extent permitted by applicable law, you shall defend, indemnify and hold harmless VNSCO and its shareholders, directors, officers, employees, contractors, representatives, affiliates, service providers and licensors from and against any claims, proceedings, investigations, liabilities, losses, damages, penalties, costs and expenses, including reasonable legal fees, arising out of or relating to:

    1. your access to or use of the Site;
    2. your breach of these Terms;
    3. your violation of applicable law;
    4. your infringement of another person’s rights;
    5. information or materials submitted by you;
    6. your misuse of Site content;
    7. any business or other decision made in reliance on the Site; or
    8. the use of the Site by a person accessing it through your device, systems or network.

    VNSCO may assume exclusive control of the defence or settlement of any matter subject to indemnification. You shall provide all assistance reasonably requested by VNSCO and shall not settle any matter without VNSCO’s prior written consent.


  15. 15

    Suspension and Enforcement

    VNSCO may restrict, suspend or terminate your access to the Site immediately, without notice and without liability, where VNSCO considers that:

    1. you have breached these Terms;
    2. your use presents a legal, security, commercial or reputational risk;
    3. restriction is necessary to protect VNSCO or another person;
    4. restriction is required by law or a competent authority; or
    5. continued access is otherwise inappropriate.

    VNSCO’s failure or delay in enforcing any provision shall not constitute a waiver.

    VNSCO reserves all rights and remedies available under contract, statute, common law or otherwise.


  16. 16

    Changes to These Terms

    VNSCO may amend these Terms at any time by publishing an updated version on the Site.

    Changes shall take effect upon publication unless a different effective date is stated.

    You are responsible for reviewing these Terms periodically. Continued use of the Site after updated Terms are published constitutes acceptance of the updated Terms.

    Access From Outside the UAE

    VNSCO makes no representation that the Site or its content complies with the laws of any jurisdiction outside the United Arab Emirates.

    Persons accessing the Site from another jurisdiction do so at their own initiative and risk and are solely responsible for compliance with all applicable local laws.


  18. 18

    Governing Law and Jurisdiction

    These Terms and any dispute, claim or non-contractual obligation arising out of or relating to the Site, its content or your use of it shall be governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai, without regard to conflict-of-law principles.

    The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction over any such dispute or claim.

    Before commencing proceedings against VNSCO, you must provide VNSCO with written notice containing full details of your claim and allow at least thirty days for VNSCO to consider the matter and attempt to resolve it, except where such requirement is prohibited by applicable law.

    Nothing in these Terms prevents VNSCO from seeking interim, protective or injunctive relief in any court of competent jurisdiction.


  19. 19

    Assignment

    You may not assign, transfer, delegate or otherwise dispose of any right or obligation under these Terms without VNSCO’s prior written consent.

    VNSCO may assign, transfer, delegate, subcontract or otherwise dispose of any or all of its rights and obligations under these Terms without notice to or consent from you.


  20. 20

    Severability

    If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be interpreted, limited or modified to the minimum extent necessary to make it lawful and enforceable while preserving its intended commercial effect.

    If modification is not possible, the relevant provision shall be severed. The remaining provisions shall continue in full force and effect.


  21. 21

    Entire Agreement

    These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and VNSCO concerning your access to and use of the Site.

    They supersede all previous statements, communications, understandings and representations relating specifically to use of the Site.

    For the avoidance of doubt, these Terms do not replace or modify any separately executed services agreement between you and VNSCO.


  22. 22

    No Third-Party Rights

    Except for VNSCO’s shareholders, directors, officers, employees, contractors, representatives, affiliates, service providers and licensors where expressly protected under these Terms, no person who is not a party to these Terms shall have any right to enforce them.


  23. 23

    Language

    These Terms are prepared in English. Any translation is provided for convenience only.

    To the fullest extent permitted by applicable law, the English version shall prevail in the event of any inconsistency between versions.


  24. 24

    Contact

    Questions concerning these Terms may be submitted using the contact details or contact form published on the Site.

    Submitting a question does not suspend, waive or extend any legal or contractual deadline and does not require VNSCO to provide a response.
